Terms of service

1. The service
Everguardly is a software-as-a-service platform that monitors website uptime, SSL/TLS certificates, domain registration expiry, and DNS records on behalf of agencies and their clients. It is delivered through a web dashboard, public APIs, status pages, alerting integrations, and related features described on our website. We provide the service on an “as available” basis and may add, change, or remove features over time.
2. Accounts & eligibility
You must be at least 18 years old and able to enter into a binding contract. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us promptly at [CONTACT EMAIL] of any unauthorised use. You are responsible for your team members and any clients you grant access to.
3. Acceptable use
You agree not to use the service to:
- Monitor, probe, scan, or test any system, network, domain, or endpoint you do not own or do not have explicit written permission to monitor.
- Conduct denial-of-service activity, send abusive request volumes, or otherwise disrupt third-party infrastructure under the guise of monitoring.
- Upload or transmit malware, or use the service to facilitate illegal activity, infringe intellectual property, or violate the privacy of others.
- Reverse engineer, resell, or sublicense the service except as expressly permitted, or attempt to circumvent usage limits, rate limits, or security controls.
- Misrepresent your identity or impersonate any person or organisation.
We may investigate suspected violations and may suspend or terminate accounts that abuse the service or create risk for us or others, with or without notice depending on severity.
4. Fair use & included usage
Each plan includes a monthly allowance for variable-cost features — synthetic transaction runs and AI-assisted generations (incident summaries, root-cause hints, and customer-communication drafts). The included amounts are listed on your plan and shown in Settings → Billing.
When an allowance is reached, that specific feature pauses for the remainder of the calendar month; your core monitoring, alerts, and status pages are unaffected. Allowances reset on the 1st of each month (UTC). Higher plans include larger or unlimited allowances. We may apply reasonable fair-use limits to protect service quality and cost for all customers.
5. Intellectual property
The service, including its software, design, trademarks, and content, is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the service for your internal business purposes during your subscription. You retain ownership of the configuration data, monitor targets, and content you submit (“Customer Data”), and you grant us the rights necessary to operate the service, including performing checks against the targets you configure.
6. Subscriptions, billing & payment processing
Plans and renewals
Paid plans are billed in advance on a recurring basis (monthly or annual) and renew automatically until cancelled. Prices and plan features are described on our pricing page. We may change prices on renewal with reasonable advance notice. Applicable taxes may be added at checkout.
Merchant of Record — Paddle
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. When you purchase a subscription, you also agree to Paddle’s buyer terms, and Paddle—not Everguardly—is responsible for collecting payment, charging tax, issuing invoices, and processing refunds.
Cancellation & refunds
You may cancel at any time; cancellation takes effect at the end of the current billing period. Refund eligibility is described in our Refund & Cancellation Policy, and refunds are processed through Paddle as Merchant of Record.
7. Suspension & termination
You may stop using the service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the service in a way that creates legal, security, or operational risk. On termination, your right to use the service ends and we may delete Customer Data after a reasonable retention period, subject to our Privacy Policy and applicable law. You may export your data before termination where the dashboard provides export tools.
8. Disclaimer of warranties
The service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that monitoring will detect every incident, certificate change, or expiry. Monitoring is a best-effort aid and does not replace your own operational controls. You remain responsible for the systems you operate.
9. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to these Terms or the service, even if advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to these Terms or the service will not exceed the total amounts you paid to us (via our Merchant of Record) for the service in the twelve (12) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless [LEGAL NAME] and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the service, your Customer Data, or your breach of these Terms—including any claim that you monitored a system you were not authorised to monitor.

We may modify the service and these Terms as our business and the law evolve. Where a change materially reduces the functionality of a paid plan, we will provide reasonable notice. Your continued use after changes take effect constitutes acceptance of the revised Terms.
12. Governing law & disputes

The courts located in [JURISDICTION] will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except where mandatory consumer-protection law grants you the right to bring proceedings in your place of residence.
